The Surface Transportation Board earlier this week approved Carload Express Inc.'s petition for an exemption under federal law so that it can acquire the Maryland and Delaware Railroad Co. (MDDE).
According to the board's filing dated Jan. 2, Carload Express would acquire MDDE through the purchase of outstanding equity shares in MDDE from Old Line Holdings Inc.
A subsidiary of Old Line, MDDE is a short-line company that operates three unconnected rail lines between Delaware and Maryland: the Centreville/Chesterton Line, Seaford Line and Snow Hill Line. Carload Express is a noncarrier holding company that currently controls three short lines: two operating in southwestern Pennsylvania and the Delmarva Central Railroad Co. (DCR), which operates 187 miles on the Delmarva Peninsula in Delaware, Maryland and Virginia.
Carload Express filed its petition Oct. 30, 2024. Carload asked that its request be granted so that its proposed acquisition — along with all related transactions involving Carload, DCR, MDDE and Old Line — can be completed no later than Jan. 31 to allow the parties to avoid multiple closings.
