NS announces board transitions, names Miles non-exec chair

Norfolk Southern Corp. today announced changes to its board, including the naming of Amy Miles as non-executive chair effective May 1.

Miles has been a member of NS' board since 2014. Alan Shaw, who was appointed president in December 2021, will join the board when he assumes the role of CEO in connection with the planned retirement of Chairman and CEO James Squires on May 1.

Squires, who was elected to NS' board in 2014, will remain a director following his retirement. As a result, the board will increase in size from 13 to 14 members. Both Shaw and Squires will stand for re-election at the company's annual meeting on May 12.

Miles' experience as a senior executive, financial expertise and service on several companies’ boards make her a "natural fit" to chair the NS board, said Steven Leer, the board’s lead director, in a press release.

Miles served as CEO of Regal Entertainment Group Inc. from June 2009 until its acquisition in March 2018. She was named chair in March 2015.

Leer will continue on the board as an independent director once Miles assumes the role of non-executive chair.

NS also announced that Marcela Donadio, a board director since 2016, will become chair of the board's audit committee on May 1. Donadio is a former partner at Ernst & Young, where she was the leader of the firm’s Americas oil and gas sector.
